1. Acceptance of Terms
By accessing this website or engaging Curious Minds Consultancy LLP ("we," "us," or "our") for business management consultancy, operational advisory, workflow automation, or digital systems integration services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity you represent, "Client" or "you") and Curious Minds Consultancy LLP. If you do not agree to all of these Terms, you are prohibited from using our site or services.
2. Scope of Services & Engagements
Curious Minds Consultancy LLP provides business consulting, process optimization, SOP structuring, custom database design, API connections, and systems implementation. The specific services, timelines, deliverables, and fees for any project will be defined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.
Any alterations, extensions, or deviations from the agreed-upon SOW will require a written Change Order or mutual agreement, which may incur additional fees and adjust project timelines.
3. Intellectual Property Rights
We respect intellectual property rights and establish clear boundaries regarding ownership:
- Our Background IP: We retain exclusive ownership of all methodologies, templates, general software code, documentation formats, and proprietary tools developed prior to or independently of our engagement with the Client.
- Custom Deliverables: Upon receipt of full and final payment, the Client is granted a non-exclusive, perpetual, royalty-free, worldwide license to use, modify, and replicate the custom-made SOP documents, workflow structures, and database configurations built specifically for them.
- Client Materials: The Client retains full ownership of all data, branding, proprietary information, and materials provided to us for the purpose of executing the project.
4. Client Obligations & Collaboration
To ensure the success of our operational consultations and system implementations, the Client agrees to collaborate constructively by:
- Providing timely access to necessary business software, credentials, dashboards, and historical workflow records as requested.
- Designating a primary point of contact authorized to make executive decisions, approve milestones, and provide feedback on deliverables.
- Ensuring that the company's team attends scheduled training sessions and adapts to the newly implemented SOPs and digital tools.
5. Billing, Fees & Payment Terms
The Client agrees to pay the fees and charges for services rendered as detailed in the applicable Statement of Work (SOW) or invoices:
- Invoicing: Invoices are sent in accordance with the milestone schedule outlined in the project SOW. Unless specified otherwise, payments are due within 7 days of the invoice date.
- Late Payments: Late payments may result in the temporary suspension of services or project delivery until outstanding amounts are settled.
- Taxes: All fees are exclusive of applicable government taxes (e.g., GST), which will be added to invoices at current rates as required by law.
6. Limitation of Liability & Disclaimer
While we strive to provide best-in-class consultancy and system designs, our recommendations are strategic advisory guidelines:
- Advisory Disclaimer: Business success depends on execution, market conditions, and operational adherence. We do not guarantee specific commercial outcomes, revenue targets, or performance metrics.
- Systems Stability: We integrate third-party cloud platforms and software (e.g., ERPs, database management suites). We are not liable for outages, data breaches, or changes in third-party API configurations.
- Limitation: In no event shall Curious Minds Consultancy LLP be liable for any indirect, consequential, or incidental damages. Our total liability for any claim arising out of an engagement shall not exceed the total fees paid by the Client under the respective SOW.
7. Term and Termination
Either party may terminate an ongoing service engagement under the following conditions:
- Convenience: By providing written notice as specified in the active Service Agreement (typically 15 to 30 days).
- Material Breach: Immediately if the other party breaches any material term and fails to cure such breach within 14 days of receiving written notice.
- Payment upon Termination: Upon termination, the Client shall pay for all completed milestones and hourly consulting work performed up to the effective termination date.
8. Governing Law and Dispute Resolution
These Terms & Conditions and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by, and construed in accordance with, the laws of India.
Any legal action, suit, or proceeding arising out of these Terms or our services shall be brought exclusively in the competent courts located in Nashik, Maharashtra, India.
